Digiuity provides digital marketing services, including but not limited to:
- Search Engine Optimization (SEO)
- Pay-Per-Click Advertising (PPC / Google Ads / Meta Ads)
- Social Media Management & Content Strategy
- Web Development, Maintenance, and Conversion Rate Optimization (CRO)
Specific deliverables, project timelines, and performance goals will be governed by individual client proposals, Service Level Agreements (SLAs), or signed Statements of Work (SOW).
2. Client Responsibilities & Access
To ensure project delivery, the client agrees to:
- Provide timely access to necessary accounts, CMS portals, hosting servers, analytics tools, and ad managers.
- Supply text content, brand assets, logos, and approvals within agreed project windows.
- Ensure all materials provided to Digiuity do not violate any third-party intellectual property or copyright laws.
3. Payment, Retainers & Late Fees
- Invoicing: Service fees are billed on an agreed schedule (e.g., monthly retainer or milestone-based). Retainer fees are generally payable upfront before campaign execution begins.
- Ad Spend: Direct media spends (Google Ads, Meta Ads, etc.) are paid directly by the client to the advertising networks unless explicitly structured otherwise in writing.
- Late Payments: Failure to clear invoices within the stipulated due date may result in a temporary suspension of services or campaign pauses until the outstanding balance is settled.
4. No Guarantees on Rankings or Conversions
While we apply industry best practices, proven strategies, and technical expertise:
- No Search Engine Guarantees: We do not guarantee specific #1 keyword positions on Google or other search engines, as ranking algorithms are controlled independently by third parties.
- Performance Fluctuations: Changes in market conditions, competitor ad bidding, algorithm updates, or client modifications to their website can influence organic and paid performance.
5. Intellectual Property Rights
- Agency Materials: Frameworks, internal templates, proprietary processes, and pre-existing code developed by Digiuity remain our exclusive intellectual property.
- Client Deliverables: Upon complete receipt of payment, final approved creatives, copy, reports, and assets produced specifically for the client become the client’s property.
- Portfolio Showcase: Unless governed by an explicit Non-Disclosure Agreement (NDA), Digiuity reserves the right to mention the client’s name and showcase project results/case studies in its agency portfolio.
6. Cancellation & Termination
- Monthly Retainers: Either party may terminate a recurring contract by providing written notice (typically 30 days) via email.
- Early Termination: In the event of project cancellation before milestone completion, the client remains liable for all work executed and hours spent up to the notice date. Fees paid for work already delivered are non-refundable.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Digiuity shall not be held liable for indirect, incidental, punitive, or consequential damages resulting from ad account bans by third parties (e.g., Meta/Google policy triggers), hosting downtime, data loss, or server hacks outside our direct control.
- Our total aggregate liability under any circumstances shall not exceed the total service fees paid by the client to Digiuity during the three (3) months preceding the incident.
